Upon purchasing a service plan, you agree to:

• Provide accurate and complete information necessary for us to perform the Services
• Respond to our requests for information or approvals in a timely manner
• Grant us the necessary access to your websites, social media accounts, or other digital properties required to perform the Services
• Pay all fees as specified in your service plan

4. Payment and Billing

4.1 Subscription Services

For subscription-based services:

• You agree to pay all fees in accordance with the payment terms associated with your selected plan
• Subscription fees are billed in advance on a monthly basis
• Subscription services automatically renew until canceled
• You may cancel your subscription at any time, but no refunds will be provided for the current billing period

4.2 Project-Based Services

For one-time project services:

• Payment terms will be specified in your project agreement
• Typically, a deposit is required before work begins
• Final payment is due upon project completion

5. Cancellation and Termination

Either party may terminate the service agreement:

• You may cancel your subscription at any time through your client dashboard or by contacting customer service
• We reserve the right to terminate or suspend your access to our Services if you violate these Terms
• Upon termination, you will still be responsible for any fees incurred prior to termination

6. Intellectual Property Rights

You retain ownership of your content and materials that you provide to us. By using our Services, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, and modify your content solely for the purpose of providing the Services to you.

We retain ownership of our proprietary tools, methods, and know-how. Upon full payment, you receive a non-exclusive, non-transferable license to use the deliverables created specifically for you.

7. Confidentiality

We will maintain the confidentiality of your business information and will not disclose it to third parties except as required to provide the Services or as required by law.

8. No Guarantees or Warranties

While we strive to deliver high-quality services, we cannot guarantee specific results. Digital marketing outcomes depend on many factors outside our control, including search engine algorithms, market conditions, competition, and your business practices.

OUR SERVICES ARE PROVIDED "AS IS" WITHOUT ANY WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

9. Limitation of Liability

IN NO EVENT SHALL MAQ DIGITAL SERVICES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, WHETHER IN AN ACTION IN CONTRACT, TORT, OR OTHERWISE, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OUR SERVICES OR THESE TERMS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR MAXIMUM LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER WILL BE LIMITED TO THE AMOUNT YOU PAID US FOR THE SERVICES IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.

10. Indemnification

You agree to indemnify, defend, and hold harmless MAQ Digital Services and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of our Services, your violation of these Terms, or your violation of any third-party rights.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Zambia, without regard to its conflict of law provisions.

12. Dispute Resolution

Any dispute arising out of or relating to these Terms or our Services shall first be resolved through good-faith negotiation. If such negotiation fails, any controversy or claim shall be submitted to arbitration in accordance with the rules of the Lusaka Centre for International Arbitration.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of any material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of our Services after such changes constitutes your acceptance of the revised Terms.
